Overview And Experience

Jessica Edwards is a corporate and commercial attorney with over 10 years of experience counseling clients on various corporate, commercial and capital markets transactions, in addition to serving as outsourced general counsel for a variety of early to mid-stage companies. Her transactional experience ranges from mergers and acquisitions, venture capital financing, 33’ Act and 34’ Act reporting and registration, including counseling clients through pre-IPO and post-IPO processes, as well as assisting clients in streamlining their contracting processes and negotiation of a range of commercial agreements. From the bid process and initial due diligence to drafting and negotiating transaction documents and navigating regulatory approval when needed, Jessica’s experience covers all stages of the transaction process. Jessica also assists clients with general corporate, securities and business matters, including entity selection, state and federal securities law compliance, fiduciary obligations, partnership and joint venture arrangements and financing agreements. As outside general counsel, she has helped her clients navigate a variety of acquisition and financing transactions, general employment issues, internal investigations, manage litigation and regulatory compliance. 

Jessica began her career at Bracewell LLP in Houston, Texas, as a corporate and capital markets associate, focusing primarily on energy industry adjacent manufacturing companies, and banking. She also practiced at Wilson Sonsini Goodrich & Rosati, P.C. in San Diego, California as a corporate associate, counseling life sciences and consumer technology companies on general corporate, technology transfer and related commercial matters.

Jessica received her Law degree from Southern Methodist University Dedman School of Law, and her undergraduate degree from Clemson University. She is licensed in California and Texas.
